TERMS OF USE

A guest-list invitation is not a guarantee of admission.

1. Agreement and eligibility

These Terms govern your access to Guestlistr, a service operated by RadLabs LLC. By checking the acceptance box, submitting an application, or using the service, you agree to these Terms, the Privacy Policy, the Messaging Terms if you select text messages, and the Guest Standards. You must be at least 21 years old and legally able to enter this agreement. If you do not agree, do not use Guestlistr.

2. What Guestlistr does

Guestlistr provides invitation, application, RSVP, guest-list, referral, calendar, and communication tools. Unless we expressly state otherwise, Guestlistr is not the event organizer, venue operator, security provider, transportation provider, alcohol seller, or ticket seller. Venues and event operators are independent third parties responsible for their premises, staff, licenses, safety procedures, accessibility, alcohol service, and event operations.

3. Invitations are not tickets

An application, approval, RSVP, QR code, calendar entry, message, or appearance on a list is not a ticket, reservation, contract for admission, or promise of entry. Admission remains subject to valid government-issued identification, age verification, capacity, arrival time, dress code, cover charges, venue rules, safety requirements, and the venue's lawful discretion. Events may be delayed, changed, relocated, or canceled without notice. Guestlistr is not responsible for travel, lodging, wardrobe, transportation, or other costs caused by a denied admission or event change.

4. Applications and profile review

You must provide accurate, current information and an Instagram username you are authorized to use. You authorize Guestlistr to view the public profile associated with that username for fraud prevention, community curation, event fit, and guest-list review. We may approve, decline, suspend, or remove access based on legitimate operational, safety, capacity, authenticity, and community considerations. We do not promise approval, placement, or invitations. Guestlistr does not make decisions based on characteristics protected by applicable law.

5. Your responsibilities

You are responsible for your conduct, your guests, your transportation, your alcohol consumption, and your compliance with law and venue rules. Do not impersonate another person, submit false information, transfer or sell an invitation, scrape data, interfere with the service, evade a suspension, access another person's private calendar link, or use Guestlistr for unauthorized solicitation. Follow the Guest Standards and reasonable instructions from venue personnel.

Complimentary dinner invitations reserve scarce seats. If you accept and cannot attend, cancel before the reservation using your private invitation. An accepted, confirmed dinner reservation missed without timely cancellation may receive an attendance strike after review. Three confirmed dinner strikes within a rolling 90-day period suspend complimentary dinner access only. You may dispute an incorrect report or provide information about an emergency.

6. Safety and interactions

Nightlife, crowds, alcohol, travel, and interactions with other people involve inherent risks. Use good judgment, protect your belongings, arrange safe transportation, and contact venue security or emergency services when necessary. Guestlistr does not conduct background checks on guests and cannot guarantee the identity, conduct, safety, or statements of any guest, promoter, venue, or other third party. Nothing in these Terms limits liability that cannot legally be limited.

7. Communications and calendars

You may select email, SMS, or both. SMS is optional and is governed by the Messaging Terms. You can withdraw consent at any time. A private calendar subscription link acts like a password and may reveal events you joined to anyone who has it. Keep it private and contact us to revoke it if it is lost or shared.

8. Content and intellectual property

Guestlistr and its software, design, branding, and original content are owned by Guestlistr or its licensors. We grant you a limited, revocable, nonexclusive right to use the service for its intended personal purpose. You retain ownership of information you submit and grant us permission to host, process, reproduce, and share it only as reasonably necessary to operate, secure, and improve the service and manage relevant guest lists.

9. Third-party services

The service may link to or work with venues, ticket sellers, reservation providers, social networks, calendar providers, email and SMS providers, map services, and other third parties. Their terms and privacy practices apply to their services. Guestlistr does not control and is not responsible for third-party services or content. Some outbound links may be tracked referral or affiliate links. Guestlistr may receive compensation for an eligible purchase or reservation at no additional cost to you. Compensation does not guarantee admission, availability, or our endorsement of a third party.

Guestlistr does not charge VIPs a platform fee to follow a venue table-booking link. Curated Invitations is a separate per-event coordination service for VIPs, offered initially as Gold for $499 per event or Diamond for $999 per event. Paying for curation does not buy access to a Member, require anyone to accept an invitation, or guarantee attendance. Promoters use the industry dashboard. Promoter Pro costs $49 per month after a 30-day free trial and renews monthly until cancelled. The checkout page shows the charge timing before confirmation, and subscribers can cancel through Stripe billing management. Founding Promoters may receive a lifetime platform-fee waiver from the super admin, but ordinary usage and messaging limits still apply.

10. Suspension and termination

We may reject an application or suspend, restrict, or terminate access when reasonably necessary to enforce these Terms, protect people or property, comply with law, prevent abuse or fraud, honor a venue request, or maintain the service. You may stop using Guestlistr and withdraw messaging consent at any time. Provisions that by their nature should survive termination will survive.

11. Disclaimers

To the fullest extent permitted by law, Guestlistr is provided "as is" and "as available." We do not warrant uninterrupted operation, error-free data, event accuracy, admission, attendance, compatibility, or any particular result. We are not responsible for acts or omissions of venues, event organizers, guests, promoters, carriers, or other third parties.

12. Limitation of liability

To the fullest extent permitted by law, RadLabs LLC and its owners, personnel, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, loss of goodwill, or costs arising from event attendance, denied admission, third-party conduct, or use of the service. Our aggregate liability for claims relating to the service will not exceed the greater of $100 or the amount you paid Guestlistr during the twelve months before the claim. These limits do not apply where prohibited by law or to liability that cannot legally be excluded.

13. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless RadLabs LLC and its owners, personnel, contractors, and affiliates from third-party claims, losses, liabilities, and reasonable legal costs arising from your unlawful conduct, your breach of these Terms, your misuse of the service, or information you submit. This section does not require you to indemnify a party for its own conduct where prohibited by law.

14. Disputes and governing law

Before filing a claim, you and Guestlistr agree to send written notice describing the dispute and requested resolution and allow 30 days for a good-faith attempt to resolve it. Notices to Guestlistr must be sent to legal@guestlistr.vip. Florida law governs these Terms, without regard to conflict-of-law rules. Unless applicable law requires otherwise, claims must be brought in the state or federal courts located in Miami-Dade County, Florida. You may still bring an eligible matter in small claims court.

15. Changes and general terms

We may update these Terms. We will post the new effective date and provide additional notice when required by law. Material changes apply prospectively after notice. If any provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms and incorporated policies are the entire agreement about the service unless you have a separate written agreement with us.
